1. Agreement
These Terms of Service ("Terms") form a legally binding contract between you and Sabio, Inc. ("Sabio", "we"). They govern your use of the Sabio mobile and web application, including all related features, content, and services (collectively, the "Service").
By creating an account or using the Service, you accept these Terms. If you don't agree, please don't use the Service.
2. Eligibility
You must be at least 13 years old (16 in the European Economic Area) to use Sabio. If you're under the age of majority in your jurisdiction, you represent that a parent or legal guardian has reviewed and consented to these Terms on your behalf.
You may not use the Service if you are barred by applicable law or are on any sanctions list.
3. Your account
You're responsible for keeping your account credentials secure and for all activity that occurs under your account. Notify us immediately at hello@sabio.app if you suspect unauthorized access. We are not liable for losses arising from your failure to secure your credentials.
You must provide accurate information when registering and keep it current. You may not create multiple accounts to abuse rewards, referral programs, or promotional offers.
4. Coins & virtual items
Sabio's in-app currency ("coins") and any perks, packs, or items you obtain with them (collectively, "virtual items") are licensed to you for personal, non-commercial entertainment use within the Service. They:
- Have no cash value.
- Are not redeemable for money, real-world goods, or any other item of monetary value.
- May not be sold, traded, or transferred outside the Service.
- Are non-refundable once earned or spent, except as explicitly required by applicable consumer-protection law.
We may modify, suspend, or discontinue coins, perks, or any virtual item at any time. Where reasonably possible, we will provide advance notice of material changes.
5. Purchases & payments
Coin packs and other paid items may be purchased through the Apple App Store, Google Play, or on our web app via Stripe. All purchases are subject to the payment processor's own terms.
Refunds: Purchases are generally final. For refund requests, contact the platform through which you paid (Apple, Google, or Stripe), or reach out to us at hello@sabio.app. Where mandatory statutory refund rights apply (e.g., EU consumer law), those rights are preserved.
Taxes: Prices displayed may or may not include applicable taxes depending on your region. You are responsible for any taxes owed on your purchases.
6. Promotion & sponsored content
Any authenticated Sabio user may spend coins to promote content — via banner campaigns or sponsored questions ("Promoted Content"). By submitting Promoted Content, you:
- Represent that you own or have all necessary rights to the content, and that the content complies with all applicable laws.
- Represent that any linked destinations comply with our Community Guidelines and are safe for a general audience.
- Grant Sabio a worldwide, royalty-free license to display and distribute the Promoted Content within the Service.
All Promoted Content is subject to human review. We may reject any submission at our sole discretion. If we reject a submission, coins spent are automatically refunded to your balance.
We may remove Promoted Content that later violates these Terms or our Community Guidelines. Removed content is not refunded once it has been served to users.
7. User content & reports
You retain ownership of any content you submit to Sabio (comments, sponsored questions, banners, reports). By submitting content, you grant Sabio a non-exclusive, worldwide, royalty-free license to host, display, reproduce, and distribute that content within the Service.
You represent that your submitted content: (a) is your original work or is used with permission; (b) does not infringe on third-party rights; (c) is not false, misleading, defamatory, obscene, discriminatory, or otherwise prohibited under Section 8.
If you believe another user's content violates our Terms or Community Guidelines, you may submit a report from within the app. We investigate reports promptly and take action at our sole discretion.
8. Prohibited use
You may not:
- Use the Service for any unlawful purpose or in violation of any applicable law.
- Impersonate any person or entity, or misrepresent your affiliation with any.
- Interfere with, disrupt, or attempt to gain unauthorized access to any part of the Service.
- Use bots, scrapers, or other automated means to interact with the Service.
- Reverse engineer, decompile, or otherwise attempt to derive source code, except to the extent expressly permitted by law.
- Use the Service to send spam, phishing, malware, or other harmful content.
- Attempt to gain coins, streaks, rewards, or referral bonuses through fraudulent means.
- Post or promote content that is hateful, harassing, sexually explicit, or otherwise prohibited by our Community Guidelines.
Violation may result in immediate suspension or termination of your account, forfeiture of coins, and — where warranted — legal action.
9. Termination
You may delete your account at any time from Settings → Delete my account.
We may suspend or terminate your access to the Service, with or without notice, for any breach of these Terms, for fraud or abuse, for extended inactivity, or when required by law. Sections that by their nature should survive termination (including Sections 4, 7, 8, 10–13) will do so.
10. No warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE". TO THE MAXIMUM EXTENT PERMITTED BY LAW, SABIO DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components.
11. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SABIO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.
Our total aggregate liability arising from or relating to these Terms or the Service shall not exceed the greater of (a) the amount you paid to Sabio in the 12 months preceding the claim, or (b) US $50.
Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In those jurisdictions, our liability will be limited to the maximum extent permitted by law.
12. Indemnity
You agree to indemnify and hold harmless Sabio, its officers, employees, and agents from any claim, damage, loss, liability, or expense (including reasonable attorneys' fees) arising out of your use of the Service, your submitted content, or your violation of these Terms.
13. Governing law & disputes
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-laws principles.
Any dispute arising from these Terms or the Service shall be resolved by binding arbitration in accordance with the American Arbitration Association's Consumer Arbitration Rules, held in your county of residence (or, if not in the US, in Wilmington, Delaware). You waive the right to a jury trial and to participate in class actions, to the extent permitted by law.
Nothing in this section prevents either party from seeking injunctive relief in a court of competent jurisdiction for intellectual-property claims.
14. Changes to these Terms
We may update these Terms from time to time. If we make material changes, we will notify you via email or in-app notice at least 30 days before they take effect. Continued use of the Service after changes take effect constitutes acceptance.
